These Advertiser Terms ("Terms") govern your use of Channel3's catalog, indexing, and distribution tools (collectively, the "Advertiser Services") provided by Channel3, Inc. ("Channel3", "we", "us", or "our") when you use them as a brand or advertiser. If you integrate our APIs or SDKs to build a shopping experience, the Publisher Terms apply to that use.
By creating an account, connecting a catalog, or using any part of the Advertiser Services, you agree to these Terms. If you do not agree, do not connect a catalog or use the Advertiser Services. If you use the Advertiser Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
These Terms incorporate our Privacy Policy. Where we process personal data on your behalf, our Data Processing Agreement also applies. If you enable distribution of your catalog to third-party AI or shopping platforms, our AI Product Distribution Terms also apply and control solely with respect to those distribution services. If you and Channel3 have signed another written agreement ("Additional Terms"), those Additional Terms control in the event of a conflict with these Terms.
1. Definitions
- Catalog means the product information you connect or submit, including titles, descriptions, images, prices, availability, identifiers, and attributes, from whatever source you use to provide it.
- Product Data means the Catalog and any optimized or normalized version of it that we create to provide the Advertiser Services.
- Publishers means developers and other customers who use Channel3 to show products inside their own applications, agents, sites, or services.
- Optimized Listing means a title, description, image treatment, or attribute set we derive from your Catalog so products can be compared and recommended consistently.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract. The Advertiser Services are not directed to children, and we do not knowingly collect personal information from anyone under 16.
3. Account
You agree to:
- Provide accurate, current, and complete account and catalog information
- Keep your account credentials secure
- Notify us of unauthorized access to your account or a connected store
- Accept responsibility for activity under your account, including by people you authorize
4. Connecting a source
You connect a Catalog by giving Channel3 access to a source you control. A source may be a product feed, a feed syndication platform, an ecommerce app or store, a product information management system (PIM), an enterprise resource planning system (ERP), or another system we support.
Connecting a source authorizes Channel3 to read product data from it on a recurring basis, copy that data into Channel3, and use it as described in these Terms. We include it in the index, optimize it, and make it available to Publishers. The read is ongoing until you disconnect that source or we can no longer reach it.
A catalog connection is read-only. We do not write product changes back to the source. If you separately enable distribution to a third-party platform, that write is covered by the AI Product Distribution Terms, not by the catalog connection itself.
You may disconnect a source at any time from your account, or by revoking Channel3's access at the source. Disconnecting stops future reads from that source. We do not automatically delete Product Data we already copied, but we will delete it upon your request. Until then, products already in the index stay there, including Optimized Listings and images we already host. They are no longer updated from the disconnected source.
5. Your catalog
You retain ownership of your Catalog. You grant Channel3 a non-exclusive, worldwide, royalty-free license to use, host, copy, reformat, and display Product Data to provide the Advertiser Services, including to:
- Include your products in the Channel3 index so Publishers, can find and recommend them
- Re-host product images on our CDN so they load inside Publisher experiences without requesting them from your store on every view
- Re-center, crop, pad, or remove backgrounds so products display consistently. We do not alter the product itself
- Modify titles to language a shopper would use. Your brand name and product name stay intact
- Normalize and enrich descriptions so a model can answer questions about the product. We stay faithful to your source data and do not invent claims, discounts, or badges
- Extract attributes such as color, size, material, and category into a shared schema
You represent that you have all rights needed to grant this license, and that your Catalog does not infringe anyone else's intellectual property, publicity, or privacy rights.
We do not use your Catalog to train our internal models. We do not sell your Product Data to third parties except as needed to power shopping experiences built on Channel3. We do not write to your store: catalog connections are read-only, and we do not edit your prices, theme, or listings on your site.
6. How shoppers buy
Purchases happen on your site. Channel3 does not hold your inventory, process the shopper's payment, or sit between you and your customer. You own the transaction and the customer relationship.
We sync catalogs on a schedule. A price or stock change on your site can take time to appear in the index. Shoppers see the live price when they reach your product page. Clicks from Publisher surfaces carry a tracking parameter so we can report which surfaces sent traffic.
Channel3 may earn a commission from a Publisher when a shopper buys through a Channel3 link. That commission is between Channel3 and the Publisher. It does not change the price the shopper pays you.
7. Your responsibilities
You are solely responsible for:
- The accuracy, legality, and completeness of your Catalog, including prices, availability, images, descriptions, and regulatory claims
- Compliance with laws that apply to your products, including consumer protection, advertising, pricing, and rules for restricted goods
- Keeping credentials for your store, feed, or connected accounts valid and limited to people who should have them
- Reviewing Optimized Listings before you rely on them for commerce or advertising
8. Prohibited catalogs
You will not submit a Catalog that:
- Is unlawful, deceptive, or infringes someone else's rights, including counterfeit goods
- Contains malware, or is used to probe or disrupt the Advertiser Services or a Publisher
- Misstates price, availability, or material product claims
We may refuse, suspend, or remove a Catalog that violates these Terms or creates legal or reputational risk. That is separate from a disconnect you start. A disconnect you start does not delete Product Data we already hold.
9. Publishers and other third parties
Publishers decide how products appear inside their own experiences, within the product data we provide. We do not guarantee that any Publisher will display, rank, or recommend your products, or that distribution will produce any particular sales result.
The Advertiser Services may link to stores, payment tools, and other services we do not operate. Your use of those services is subject to their terms.
10. Fees
Connecting a catalog does not by itself require a subscription fee. If a feature, distribution channel, or order form states a fee, you agree to pay that fee and applicable taxes in U.S. dollars. Payments are processed by Stripe. We do not store full payment card numbers. Fees are non-refundable except where we agree in writing or the law requires a refund.
11. Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use it only to perform under these Terms and will not disclose it except to personnel and contractors who need it and are bound to keep it confidential, or as required by law.
Confidential Information does not include information that is public through no fault of the receiving party, was already known without a confidentiality duty, is independently developed, or is rightfully received from someone else. These obligations last for five (5) years after disclosure, and for trade secrets for as long as they remain trade secrets.
12. Disconnecting and termination
You may disconnect a source or close your account at any time. Disconnecting stops future reads from that source, as described in Section 4. We do not automatically delete Product Data we already hold, and we may keep showing it in the index until you ask us to delete it, which we will do upon request. It is no longer updated from the disconnected source.
Copies already sent to a third-party platform you enabled stay subject to that platform's own retention, as described in the AI Product Distribution Terms. We do not control whether that platform deletes them.
We may suspend or end access if you breach these Terms, fail to pay fees that are due, or if continued access would create legal, security, or operational risk. Sections that should survive by their nature, including confidentiality, disclaimers, liability limits, and indemnification, will survive.
13. Disclaimer
THE ADVERTISER SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CHANNEL3 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INDEX, OPTIMIZED LISTINGS, OR ANY PUBLISHER EXPERIENCE WILL BE UNINTERRUPTED, ERROR-FREE, CURRENT, OR THAT THEY WILL PRODUCE SALES.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CHANNEL3 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF THESE TERMS OR THE ADVERTISER SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE ADVERTISER SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO CHANNEL3 FOR THE ADVERTISER SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, EXCEPT WHERE THE LAW DOES NOT ALLOW THEM.
15. Indemnification
You will indemnify, defend, and hold harmless Channel3 and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your Catalog, your products, your use of the Advertiser Services, or your breach of these Terms. We may control the defense of an indemnified claim. You may not settle a claim that imposes an obligation on Channel3 without our prior written consent.
16. Other terms
You will not provide access to the Advertiser Services in violation of U.S. export-control or sanctions laws. You represent that you are not located in an embargoed country and are not on a U.S. government list of prohibited or restricted parties.
Neither party is liable for delay or failure to perform (except payment) caused by events beyond its reasonable control, including natural disasters, war, government action, epidemic, or failures of internet or power infrastructure.
You may not assign these Terms without our prior written consent, except to a successor in a merger, acquisition, or sale of substantially all of your assets, if the assignee is not a competitor of Channel3 and assumes these Terms in writing. We may assign these Terms in a corporate transaction or to an affiliate.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to that venue.
If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a notice on our website. Continued use of the Advertiser Services after the effective date is acceptance of the updated Terms.
If a provision of these Terms is held invalid, the remaining provisions stay in effect. These Terms, together with the Privacy Policy, the DPA where it applies, the AI Product Distribution Terms where they apply, and any Additional Terms, are the entire agreement about the Advertiser Services. There are no third-party beneficiaries.
