Welcome to Channel3. These Terms of Service ("Terms") govern your access to and use of the websites, web applications, APIs, SDKs, browser extensions, and other services (collectively, the "Services") provided by Channel3, Inc. ("Channel3", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

Acceptance of Terms

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. API Usage

If you use our APIs, you agree to comply with our API documentation and any applicable rate limits. We reserve the right to throttle or suspend API access if we determine that usage is excessive, abusive, or otherwise harmful to the Services or other users.

Intellectual Property

The Services, including all content, features, and functionality, are owned by Channel3 and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit through the Services, but you grant Channel3 a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content as necessary to provide the Services.

Third-Party Services

The Services may contain links to or integrations with third-party websites, services, or content. We do not endorse or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

Payment Terms

Certain features of the Services may require payment. If you purchase a paid plan, you agree to pay all applicable fees. Payments are processed by Stripe. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing at any time with reasonable notice.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease, and we may delete your account and data in accordance with our data retention policies.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHANNEL3 DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHANNEL3 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CHANNEL3 DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Channel3 and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Channel3 regarding the Services and supersede all prior agreements and understandings.
